Award Description: To provide services to the Office of the General Counsel with specialized legal advice and services (a) on programmatic aspects of the ATVM Program and (b) on transactions proposed or consummated under the ATVM Program. The services to be performed under the contract include review and evaluation of loan applications and ensuring that the negotiation and closing of loans made under the ATVM Program. Contractor is compensated for the provision of Direct Productive Labor Hours for specified labor categories at the rates specified in the contract. Deliverables specified in the contract include, inter alia, (i) review of applications and preparation of memoranda describing documents reviewed and identifying issues raised by any transaction documents, (ii) review of due diligence documents and preparation of memoranda regarding the same; (iii) provision of counsel on all matters of local law relevant to a proposed transaction; (iv) drafting and participation in negotiations of transaactional documents; (v) preparation and delivery of appropriate legal opinions; and (vi) preparation and delivery of closing record sets and operational memoranda with respect to each transaction.
Project Description: We did not deliver an invoice during this quarter for work performed with ARRA funds. During this period, we submitted a single invoice for work performed in April and May 2009 (with non-ARRA funds) in connection with the loan to Ford Motor Company. The work for which the invoice was issued included review of the Ford application, meetings with DOE and Ford personnel, preparation of template term sheet and conditional commitment documents for the ATVM program, and preparation and negotiation of the term sheet and commitment letter for the Ford transaction.
